Job Overview:

A law firm is seeking a highly experienced Mid-to-Senior Associate Attorney to join its Tax-Exempt Organizations and Philanthropy practice. The ideal candidate will have significant experience advising private foundations, charitable organizations, and philanthropists on a wide range of legal and tax issues, including forming and obtaining tax exemptions for nonprofit corporations and charitable trusts, structuring nonprofit mergers and joint ventures, and representing tax-exempt entities during audits. The attorney will also advise large 501(c)(3) organizations on corporate governance and tax compliance.

Key Responsibilities:

  • Provide legal counsel to private foundations and charitable organizations on complex tax and legal matters.
  • Form and obtain tax-exempt status for nonprofit corporations and charitable trusts.
  • Advise private foundations on grant agreements, tax compliance, and succession planning.
  • Counsel philanthropists on charitable gifts, donor-advised funds, and planned giving strategies.
  • Advise 501(c)(3) organizations on corporate governance, unrelated business taxable income (UBTI), and other compliance matters.
  • Structure mergers, affiliations, and joint ventures for nonprofit organizations.
  • Advise on complex organizational structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits concerning tax and charitable issues.
  • Stay updated on federal and state tax laws, nonprofit regulations, and best practices in philanthropy.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.
  • Experience working with tax-exempt organizations and philanthropists.
  • Proven experience advising on tax exemption, governance, and compliance matters for large nonprofits.
  • Strong knowledge of tax issues affecting private foundations, 501(c)(3) organizations, and charitable trusts.
  • Experience in structuring and advising on complex transactions involving nonprofit entities.
  • Familiarity with federal and state audit procedures for tax-exempt organizations.
