ProfileDirector, Legal Affairs Duties: Will work under the guidance of the Deputy General Counsel and provide legal advice and counsel on mergers and acquisitions, joint ventures and other corporate matters. Will lead transactions, work independently and as part of a team, and forge close working relationships throughout the organization. Provide critical legal advice and business counsel to the Company on a wide array of sophisticated and complex matters Independently manage legal aspects of M & A and direct investment transactions with little supervision including conducting and managing legal due diligence, drafting and negotiating transaction documentation, coordinating closings and managing outside counsel. Structuring, negotiating, reviewing and drafting a variety of agreements for key transactions, including corporate finance. Keep abreast of proposed and existing legislation and regulations, and coordinate compliance with SOX as well as corporate governance rules and listing requirements. Oversee the legal aspects of commercial transactions, including transactions involving gaming and intellectual property.
Qualification and Experience
Requirements: J.D. degree from a top academic institution and 3+ years of corporate legal experience. Experience from a nationally recognized law firm required. Experience with mergers and acquisitions, joint ventures, corporate governance and general corporate transactions is required. Should be a legal practitioner possessing excellent judgment, solid character and personal integrity. A member of good standing of a state bar and able to be admitted to practice law in at least one U.S. jurisdiction. Exposure to gaming and IP law required.
