Senior Legal Contract Specialist The candidate provides support to the Legal Services Department of Piedmont Healthcare. Will review, revise and draft a broad range of contracts including, consulting agreements, independent contractor agreements, confidentiality and non-disclosure agreements, business associate agreements, software licensing and other information technology agreements, purchase and pricing agreements, clinical affiliation agreements, clinical services agreements, professional services agreements, leases, transfer agreements, other types of vendor agreements and amendments thereto. Contract review will include suggesting language to reflect changes requested by clients and in-house attorneys. Present contract issues and concerns to the in-house attorneys for advice and resolution. Review, revise and draft termination letters and other legal documents and correspondence as requested. Facilitate signature process for various contracts and other documents as needed and distribute copies of signed documents to internal clients and to the contract database. Review contracts and contract files as needed to answer routine inquiries (internal and external) regarding contracts and provide follow-up with the responsible in-house attorney on contract issues. Assist in maintaining and updating legal forms and templates (contracts, amendments, extensions, non-disclosure agreements, etc.), including creation and maintenance of sample language to expedite contract drafting and revision process. Assist with the administration and oversight of the contract database. This will include, providing support to users with questions pertaining to functionality, access, etc.; respond to responsible parties regarding electronic email notifications; and assist with preparing contractual and supporting documents (e.g., certificates of insurance, fair market values, needs assessments) for loading into the database. Assist with the Legal Services file database. This will include assisting with file and document management by printing of emails and documents for filing, creating files as needed, preparing documents to be filed, filing, organizing and maintaining files, and archiving files as appropriate for offsite storage. Provide support to and assist with tracking internal requests for contract review and drafting including, requesting Administrative File Clerk to include items on intake log, confirming that conflict of interest and sanctions checks were requested, confirming that internal requests cleared sanctions and conflicts prior to releasing the document and Contract Review Form to the client. This will also include creating a new matter file or confirming file exists, printing and filing of relevant documents. Conduct legal research as requested. Perform administrative tasks, special projects and/or additional work as needed or requested. Must have Paralegal Certificate or Bachelor’s Degree. Should have 5+ years of paralegal or legal assistant experience in an in-house legal department or law firm. Experience in healthcare law preferred, but will consider paralegal with experience in other areas. Paralegal with experience reviewing, revising and drafting contracts is also preferred, but will consider litigation paralegal with requisite skills and strong interest in transitioning to transactional work. Superior PC skills, Word super-user level, Westlaw and proficiency in Excel, Power Point, Adobe Professional, and internet also required.
