IN-HOUSE CORPORATE COUNSEL OPPORTUNITY WITH A DYNAMIC, RAPIDLY GROWING COMPANY!

As General Counsel of Fairway America, LLC, I am looking for the right candidate to fill an in-house corporate counsel position with our rapidly growing company.  Specifically, I am looking for a smart, driven junior attorney who can work closely with me to help manage the Fairway America group of companies’ legal affairs, including compliance with various securities laws and related regulations, drafting offering and related documents for Fairway’s private investment funds and real estate syndications, and generally handling all of Fairway’s various other corporate legal matters.

Fairway America and its related companies do great real estate deals with the best people in the middle market commercial real estate space.  We do this by, among other things, operating our own pooled investment funds and syndications and working with great real estate entrepreneurs to fund and manage real estate projects across the United States.  As a result of these activities, Fairway has to draft a variety of offering and other documents and actively monitor and comply with a wide variety of compliance rules and regulations, including regulations relating to Registered Investment Advisor regulations, Broker Dealers, private securities offerings, Investment Company Act compliance, banking and financing regulations, and many others.  All of this, of course, is in addition to the other corporate and legal issues that any company must address, including contracting, human resources and employment law issues, insurance coverage, etc.

As Fairway has grown, our needs for on-going legal and compliance services have outgrown the capacity of Fairway’s legal department (currently me, one other in-house attorney, and a senior paralegal) to provide those services.  I and the rest of Fairway’s management team anticipate that Fairway and its related companies will continue to grow rapidly over the next several years.  In order to meet Fairway’s extensive and growing legal needs, I am looking to hire a strong in-house junior corporate counsel to help me and the rest of my team manage all aspects of Fairway’s legal and compliance affairs.

If you are a smart, driven attorney looking for an entrepreneurial environment of dynamic change and growth, and also have the stomach and skills to understand and manage a complex set of regulatory requirements while staying on top of various other drafting, research, and similar activities, I want to hear from you!

Jay Zollinger, General Counsel, Fairway America

At Fairway America, we are committed to our Core Values:

  • Focus on what Matters—Work on the most important things
  • Act with Integrity—Do what you know is right in all situations
  • Learn, Grow, Adapt, Improve—Continually strive to get better
  • Get It Done, Do it Right—Results matter
  • Value for Value—Bring value to others and demand it in exchange

These values are alive at our company and we adhere to them every day while pursuing our core purpose of doing great deals with the best people in the middle market real estate space.  We have already made tremendous strides in this mission and we continue to grow rapidly in all phases of Fairway’s business model, and we need exceptional, quality people across all business units to help handle that growth. We have an excellent combination of seasoned company veterans and top talent newcomers we have hired in the past several years to fuel our growth. We are now looking for the right in-house corporate counsel to help take the Company to the next level.

  • Have you been practicing law for at least three to five years?
  • Do you have an academic record and professional background that supports a conclusion that you are a smart, competent attorney highly capable of providing the highest quality legal services possible?
  • Does your prior legal experience include work at a large law firm, sophisticated mid-size firm, or established legal department for a significant client?
  • Do you have some familiarity with SEC and FINRA rules relating to private funds, securities issuers, investment advisors, broker dealers, and investment companies?
  • Have you provided compliance advice or similar services to clients in the securities or financial services industries before?
  • Are you familiar with other regulations that impact financial services companies, like anti-money laundering, issues involved with accepting investments from non-US investors, and others?
  • Are you familiar with and able to draft private investment securities offerings and related documents like term sheets, PPMs, subscription booklets, operating agreements, and the like?
  • Do you write well, precisely, and quickly?  Do you enjoy writing?
  • Are you able to efficiently research, summarize, and monitor complex and evolving legal issues and regulatory requirements?
  • Are you able to identify and implement practical business solutions to complex legal problems, rather than treating legal issues as an impediment to doing business?
  • Are you unafraid of hard work, deep commitment and high achievement (and in fact relish it)?
  • Are you comfortable interacting and working closely with executive and director-level personalities, including strong personalities?
  • Do you get excited about your work, take deep pride in doing it well, and think about it even when you are not working?
  • Do you prefer being an integral part of a smaller, tight-knit, entrepreneurial team, as opposed to working in a large corporate environment?
  • Are you able to work independently, without excessive supervision, while still complying with the team’s broader vision of the end product?
  • Do you prefer thinking for yourself, as opposed to following someone else’s directions?
  • Are you comfortable with change and able to modify your expectations, contributions, and responsibilities over time?
  • Does doing your absolute best and being an achiever in whatever you do come naturally to you?

If you answered yes to most (or even better, all) of these questions, then we definitely want to meet you!

The Position

The person hired to fill this position will work closely with Fairway’s General Counsel and other legal team member to help manage all of Fairway’s legal and compliance issues and affairs.  The position will report to the company’s General Counsel and will be located in Portland, Oregon.  The exact parameters of the position will be shaped over time, as the Company grows and adapts, and in order to take full advantage of the particular skill set of the person hired for the position.

Qualifications and Skills

At Fairway America, we try only to hire “A players”—people who demand success, integrity and achievement of themselves. Therefore, core values, resourcefulness, a natural desire to succeed, and a demonstrable track record of success in whatever you have done in your life are more important to us than a specific set of prior experience. That said, an ideal candidate for this position would possess most or all of the following:

  • A JD from a qualified law school, with an academic track record that demonstrates your inherent intelligence, dedication to hard work, and ability to succeed
  • Membership of a state bar association, preferably Oregon’s
  • At least 3-5 years of experience working in a law-firm or corporate legal environment that has helped you understand how to provide sophisticated, top-shelf legal services to clients who demand the best
  • Some basic familiarity with securities laws, corporate legal issues, and the myriad of compliance issues facing private investment funds, investment advisors, and capital raisers
  • A verifiable track record of success in all previous positions, legal or otherwise
  • Excellent ability to understand and draft complex legal documents quickly but accurately, including contracts, corporate documents, and securities offerings
  • Strong writing skills, as well as an ability to communicate effectively with others both in writing and verbally
  • Highly organized with the ability to efficiently and accurately manage (and/or delegate) multiple projects and responsibilities
  • A deep commitment to honest, ethical conduct in all of your dealings and a natural inclination and ability to adhere to the company’s core values
  • Currently living within a reasonable commuting distance to Fairway’s headquarters in Portland Oregon
