Attorney This candidate will primarily focus on providing transaction and compliance support in the Government segment. Will draft, negotiate and advise business clients relative to complex cloud computing deals, strategic alliances, software licensing, consulting services, product support, and other agreements with USRI customers and partners. Develop and support compliance programs, systems, processes and training appropriate for a world-class cloud service provider to governments and highly-regulated industries. Orchestrate issues and input from multiple stakeholders to drive deal closure. Help localize and develop model standard agreements and clauses for future USRI deals. Coordinate legal matters handled by external counsel for large USRI deals and compliance-related projects. Provide strategic advice on newly emerging information technology business and government contracting models, including Artificial Intelligence, Internet of Things (IoT), CRADAs, and OTAs. Provide strategic advice and guidance on rapidly changing privacy, data security, cyber-security and other regulatory issues impacting US government customers and large regulated industries. Must have JD degree from an accredited US law school with excellent academic credentials. Admission to and in good standing with the state bar of at least one U.S. state. At least 5 years of relevant transactional experience gained in-house or at a law firm. Strong analytical, writing and oral communication skills. Working knowledge of Microsoft Outlook, Word and PowerPoint. History of negotiating complex information technology agreements with governments and highly regulated industries. Knowledge of and practical experience with FAR, DFARS, commercial item procurement, cybersecurity, ITAR, Trade Agreements Act, national security, small business set asides and small business subcontracting, and other unique Government requirements. Experience and knowledge in transactions pertaining to intellectual property rights. Demonstrated project management skills. Background in complex mergers and acquisitions transactions. Proficiency in advising on data protection issues and privacy laws. Understanding of advanced technologies including artificial intelligence and block chain
