Corporate Counsel The candidate will provide support on a wide variety of matters, including corporate governance, legal entity management and compliance, tax and treasury initiatives, antitrust and M&A transactions. Will report to company’s Legal Director for Global Corporate Governance, Tax and Regulatory Matters. Provide legal support in connection with execution of global tax initiatives and cash management strategies; advising on U.S. legal entity compliance and corporate governance matters; assisting with intercompany transactions among company’s U.S. and international subsidiaries; responding to internal and external requests for corporate information, such as inquiries by auditors, regulators and shareholders; assisting with antitrust and other regulatory filings related to corporate transactions; and assisting with corporate integration items for M&A transactions.
Qualification and Experience
The candidate should have a JD degree and 5 + years of legal experience in corporate and transactional matters. Strong academic credentials are required. Should have solid understanding of corporate law and contractual principles. Should have experience advising on general corporate issues for multi-national companies. Working knowledge of corporate securities laws required. Experience with cross-border transactions, including M&A and corporate intercompany transactions, is a plus. Excellent written and verbal communication skills are required. Should have strong communication skills who can work collaboratively with legal colleagues and business partners.
