Senior Corporate Paralegal
The candidate will assist in-house attorneys and senior management by providing clerical and research support services including document preparation and review; maintaining domestic and non-US corporate entities in good standing, managing vendors, organizing corporate records; and legal research. Act as senior corporate paralegal for a global data center services provider. Provide support to in-house attorneys and senior management for various projects as needed. Support the Corporate Secretary, including: (i) maintain minute books for the Company’s domestic and foreign subsidiaries; (ii) draft and file documents such as articles of incorporation, bylaws, board and shareholder minutes, consents, secretarial certificates and powers of attorney. Managing external service providers handling annual report, business license and qualification renewals, and maintaining a calendar of required state and local filings for the Company and its affiliates to ensure timely filings in collaboration with internal stakeholders. Maintaining internal calendar of non-US affiliate corporate secretarial filings. Managing external service providers to ensure timely filing of non-US affiliate corporate secretarial filings in collaboration with internal counsel and internal stakeholders; includes working closely with finance team. Meets with attorneys and management to discuss assigned projects. Drafts legal documents including routine corporate filings and correspondence. Researches and analyzes statutes, regulations, legal articles, judicial decisions, and other legal sources; provides written analysis to attorneys. Assists compliance team with its reporting procedures. Performs other related duties as assigned. Understanding of legal language and principles and research methods are required. Data center or real estate experience is a plus. Excellent interpersonal and customer service skills are required. Excellent organizational skills and superb attention to detail are required. Excellent time management skills with a proven ability to meet deadlines are required. Strong analytical and problem-solving skills are required. Proficient with Microsoft Office Suite or related software are required.
