Associate General Counsel
The candidate will assist the General Counsel in implementing strategic corporate legal initiatives throughout the company. Will support the General Counsel in providing executive management with effective advice on legal strategies and their implementation, assist in managing the legal functions of the company, assist in advising regarding corporate governance matters, and assist with overseeing the work of outside counsel, including handling litigation matters on behalf of the company. Advise, consult, and educate the corporate and compliance business partners on legal issues to proactively reduce all potential legal, governance and compliance exposure to the company in collaboration with the General Counsel. Assist in overseeing corporate legal matters pertaining to the organization including corporate, compliance, regulatory, governance, copyright, intellectual property, and employment law matters. Assist in collaborating and partnering with internal departments to provide timely, accurate, and practical legal counsel for their specific needs including support for: the Compliance Department with the interpretation and implementation of regulatory or legislative directives; the Human Resources department on any and all needs related to employment law; and the Credit Risk department to assess and minimize risk of loss through member loans. Maintain a thorough understanding of state and federal laws and regulations related to company compliance, including federal and state consumer compliance laws and regulations. Assist in the direction of all corporate governance activities for the company to ensure polices, structures, and procedures reflect best practices comply with all federal and state regulatory requirements. Keep apprised of changes in law and regulations for corporate matters and adapt business practices as needed. Assist in the supervision and monitoring of work performed by outside counsel, including litigation.

Qualification and Experience

The candidate should have a J.D. degree from a law school accredited by the State Bar of California or the ABA. Must have 3+ years of experience practicing corporate law either in-house or with a law firm, preferably with a national or large regional law firm. Should also have experience counseling clients in the financial services industry. Preference for prior company experience and experience with a financial institution subject to examination and oversight by the Consumer Financial Protection Bureau. Prior experience advising clients on consumer compliance matters is desired. Must have overall comprehensive legal knowledge (labor law, marketing/advertising law, litigation, corporate law). Experience managing other attorneys and support staff is desired. Occasional overnight travel is required. Should be an active membership and good standing status with the State Bar of California. License to practice law in California via successful completion of the California Bar Examination or the California Attorney's Examination is required.
