A law firm in Boston, MA, is seeking a Corporate Securities Associate Attorney with a minimum of 3 years of experience. The ideal candidate will lead '34 Act compliance and '33 Act securities work, with significant experience in capital markets transactions, corporate governance matters, and executive compensation.

Duties:

• Lead '34 Act compliance and '33 Act securities work.
• Handle capital markets transactions, including public and private offerings of equity, debt, and other securities.
• Address corporate governance matters and executive compensation.
• Ensure compliance with exchange listing requirements, Rule 144, Section 13, and Section 16 issues.
• Provide legal counsel on a range of securities-related issues.

Requirements:

• Admission to practice law in the state of Massachusetts is essential.
• Minimum of 3 years of experience in corporate securities law.
• Strong understanding of '34 Act compliance and '33 Act securities regulations.
• Experience with capital markets transactions and corporate governance matters.
• Familiarity with executive compensation and exchange listing requirements.
• Excellent analytical, research, and communication skills.
