Paralegal, Corporate The candidate: Provides legal support to attorneys in the drafting of legal and business communications, and legal review of powers of attorney, corporate governing documents and other business materials. Oversight and vendor management of foreign entity management service provider. Reviews and responds as appropriate to routine communications and requests from internal customers, including finance, tax and third party vendors such as PWC, and local tax vendors, including outside counsel. Responds to inquiries/special projects as needed. Frequent direct communication with business clients on substantive matters. Partners with other members of the legal department on cross functional initiatives, such as: office moves, board of director management and securities work. Manage annual global requirements for large international and domestic portfolio of legal entities. Ensure all necessary legal documents are timely filed to maintain entities in good standing. Manage global Secretariat legal entity tracking system and maintain up to date records. Assist with merger, dissolution or addition of corporate entities, as required. Provide legal support to corporate Treasury, Finance and Controllership, and Tax teams on any necessary legal approvals or documentation. Ensure any required corporate approvals are received for legal entity management. May also perform additional duties as assigned. Outstanding organizational skills and the ability to meet deadlines is essential. Should have an undergraduate degree from an accredited university. Must have 2-5 years' experience as a paralegal. Experience in corporate legal work is a plus. Familiarity with legal entity management procedures is essential. Should have experience working with multiple jurisdictions, both domestic and global. Highly proficient with Microsoft Office Suite (particularly, MS Word, EXCEL, PowerPoint and SharePoint) and Adobe is essential. Must have experience with entity, matter and document management tools.
