ProfileParalegal Specialist The candidate will support a broad range of purchase and supplier contracting for a number of functional areas, including: supply chain, direct manufacturing (e.g., components, raw materials, etc.), and indirect goods (e.g., HR/business services, facilities, travel, etc.). Will work closely with, and act as primary support for, the existing Senior Counsel and Legal Manager (paralegal) within the Legal department responsible for supporting purchasing and supplier contracting. Prepare drafts of purchasing and supplier contracts (including supply agreements, services agreements, etc.) based on legal and business input and utilizing Client's approved templates. Act as contract manager and primary point-of-contact within Legal in connection with the negotiation of purchasing and supplier contracts: work with the relevant category managers within Baxterâ€™s purchasing organization to support the review of supplier redlines and Client stakeholder contract comments; negotiate key legal points within Legalâ€™s pre-approved guidelines and playbooks; document acceptance of compromise language accepted by responsible Client stakeholders, as appropriate, to facilitate contract negotiation process to completion. For template agreements, identify the applicable version of the template and prepare the initial draft of the agreement. Manage follow up communications with business personnel throughout the contracting process.
Qualification and Experience
The candidate should have typically have Bachelor's Degree, and paralegal certification or 4- or more specialty paralegal courses and 5+ years of relevant contract management / paralegal experience. Must have substantial experience drafting and negotiating commercial contracts, particularly supplier and purchasing contracts. Extensive knowledge and understanding of key terms and concepts in commercial contracts, particularly supplier and purchasing contracts (e.g., payment terms, indemnities, warranties, etc.). is essential.Basic experience and acumen translating purchasing / procurement needs into contract language is a must. Paralegal with experience supporting a corporation's purchasing supply chain agreements is essential. General understanding of legal environment and resources is essential. Must have well-developed communication skills, both written and verbal, and good research and analytical skills. Advanced skills needed are with MS Office 365 (Word), iManage, Onit (for CDA/NDA review). Working knowledge of PDF files and Box.com is a plus.
