Corporate Counsel, SEC The candidate will provide legal support for SEC reporting, corporate finance, corporate governance and compliance, complex transactions and general corporate matters. Duties include work on SEC disclosures, public company reporting, preparation of Board materials and corporate filings, assistance with corporate finance transactions (including offerings and securitizations), and handling of other corporate matters, such as review of contracts. Manage all aspects of SEC Reporting. Work effectively with outside counsel and business leaders on corporate finance and corporate governance initiatives. Advise on a broad range of capital markets transactions and business deals in a constantly changing and stimulating environment. Independently negotiate, draft and manage a wide range of corporate finance transactions, complex due diligence reviews, and other business agreements and complex procurement and outsourcing contracts. Ability to manage multiple transactions, take on new responsibilities and handle novel issues is critical. Assist in the preparation of regulatory filings.
Qualification and Experience
The candidate should have JD degree from an accredited high caliber law school with admission to at least one State Bar. Must have 7+ years of legal experience with a focus on SEC reporting, capital markets transactions, private and public mergers and acquisitions, and experience across a broad range of securities offerings, including debt and equity transactions. Must have ability to handle and prioritize multiple high-level projects, strong attention to detail and ability to thrive in fast paced, heavy work environment independently without supervision. Excellent organizational and interpersonal skills needed.
