Corporate Counsel The candidate will be responsible for the corporate filings, including Securities and Exchange Commission 1933 and 1934 Act filings (Form 4, 10-K, 10-Q, 8-K, Proxy), NYSE compliance, stock plan management and executive compensation. Will act as Corporate Governance and trusted advisor to Board, including corporate policies, Board and Committee Charters, annual shareholder meeting, Board and Committee meetings, and worldwide corporate presence. Code of Business Conduct and Ethics compliance program, including compliance training and ensuring continued compliance with all applicable laws including the U.S. Foreign Corrupt Practices Act, international anti-bribery laws and U.S. embargoes. Mergers and Acquisitions.
Qualification and Experience
The candidate should have a J.D. with excellent academic record from accredited law school and active bar status. At least five(5) years of significant corporate and compliance experience with a top law firm and in-house in a sales-driven environment for fast-paced public global technology companies. Ability to appropriately balance legal and business considerations and conflicts while meeting short turnaround cycles. Excellent written and oral communication skills, including ability to advise clients clearly and succinctly and effectively communicate and work across functional areas with all levels of management to achieve results. Experience working under international laws and with international colleagues and outside counsel; foreign language ability a plus. Excellent organizational and multitasking skills. Availability for international conference calls and occasional travel. Ability to work well independently and assume significant responsibility as well as to work as part of a team. Practical, business-minded, flexible, hands-on self-starter with a positive attitude and sound judgment focused on responsiveness and providing superlative legal services.
