Supervising Attorney The candidate will be responsible for driving day to day legal functions related to real estate transactions, tower space licensing and administration of existing agreements. Will be resolving escalated title and survey issues, drafting legal correspondence and ensuring the due diligence for asset acquisitions is done in a timely manner and within parameters set by senior management. Responsible for drafting and negotiating Purchase Agreements, Easement Agreements, Ground Leases, License Agreements and other transactional documents in a high-volume time-sensitive environment. Supervise Staff Attorneys to ensure accurate and timely drafting of a wide array of commercial real estate related documents including but not limited to Purchase Agreements, Deeds, Easement Agreements, Assignments, Bill of Sales, Ground Leases, amendments, Memorandums of Lease, Subordination, non-disturbance and atonement, estoppels/collateral assignments, releases, title curative documents, settlements and settlement statements. Supervise Staff Attorneys and Paralegals to ensure accurate and timely drafting of a wide array of contract documents including but not limited to License Agreements, Amendments, Settlement Agreements, Termination Agreements and Assignments. Oversee required real estate due diligence ensuring timely closings on all transactions including curing comprehensive title issues by negotiating with lenders and seller-attorneys. Partner with Land Representatives on negotiations with landowners and with Project Managers and Territory Managers, Business Development on negotiations with customers. Provide legal analysis and guidance to other functional groups regarding ground leases, license agreements. Ensure all alleged ground lease defaults are cured within 10 days of receipt and all license assignments and terminations are processed in a timely manner and other contract or lease related documents. Provide detailed analysis and guidance to litigation appropriate departments on any matters that result from ground lease or tower license disputes. Supervise and manage the performance of a minimum of two Staff Attorneys, Paralegals or Coordinators. Proactively identify and resolve personnel issues in conjunction with Human Resources. Recruit, develop and retain staff, partnering with Sr. Management, Recruiting and Human Resources. This includes on-boarding and orientation for new hires. Provide disciplined performance management for team. Define and communicate annual goals, perform formal and informal performance reviews, and ensure changes and updates are communicated in a timely and professional manner. Must have JD degree and licensed to practice law (in any state). Should have 3+ years of relevant legal experience. Experience in real estate law or commercial transactions is preferred. Prior supervisory experience is desired. Experience in the tower or carrier industry is an asset. Demonstrated understanding of current law and policy as it relates to all relevant industries, including: Telecommunications and Real Estate law; Understanding of transactional Real Estate law and licensing in telecom leasing context is must. Solid application of attention to detail in the preparation and review of contracts and agreements; Excellent legal drafting skills is must.
