Job Overview: A law firm in Los Angeles, CA, seeks a Mid-level EC/VC Corporate Associate Attorney to join their team. The ideal candidate will have experience advising emerging companies and venture capital investors on corporate and transactional matters, including financing, corporate governance, mergers and acquisitions, and strategic transactions.

Duties:

  • Advise emerging companies and venture capital investors on corporate and transactional matters from formation to exit.
  • Draft and negotiate venture capital financing documents such as term sheets, convertible notes, and NVCA financing documents.
  • Provide legal guidance on corporate governance matters, including board and shareholder issues.
  • Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
  • Conducted due diligence and assisted in transactional closings.
  • Act as outside corporate counsel to early-stage and late-stage private companies.
  • Manage internal and external client and counsel relationships.

Requirements:

  • Juris Doctor (.) from an accredited law school.
  • Admission to the California Bar.
  • 4-6 years of experience in a reputable law firm or in-house legal department.
  • Experience with emerging companies and venture capital transactions.
  • Strong background in corporate law, with specific experience in emerging companies and venture capital.
  • Excellent drafting and negotiation skills.
  • Entrepreneurial mindset and a team player.
  • Ability to work independently and collaboratively in a fast-paced environment.

  • Excellent research and writing skills.
  • Strong academic credentials.

Certifications:

  • Admission to the California Bar.
