Corporate Attorney The candidate will consult and handle corporate and general legal matters (e.g., intellectual property, mergers & acquisitions, professional service agreements, compliance issues, transactions, agreements, lawsuits, and patents). Manage Corporate Governance Filings & Regulatory Compliance. Assist with developing company policy and positions on legal issues. Research, anticipate and guard the company against legal risks. Guide Senior Management and Project Managers with compliance with statutory requirements and other applicable rules and regulations. Structure, draft and review reports and other legal documents. Represent the company in legal proceedings (mediations, depositions, administrative boards, court trials etc.) & collections assistance. Contract Management and Subcontract Management. Manage Insurance Certificate Requests. Assist Marketing with the Preparation of Corporate Forms for RFP and RFQ Submissions. General Organization and Filing for legal & confidential documents.
Qualification and Experience
The candidate should have 5-7 years of experience at a law firm or corporate legal department specializing in professional liability matters, transactions, litigation, and collections. Current license to practice law in NJ, NY. A Juris Doctorate degree in Law. Proven background on corporate law, contract law, land use, environmental laws/regulations, real estate/property, licensing, and zoning laws). Excellent negotiation and communications skills. Administrative and managerial skills. Analytical ability and strong attention to detail. Proficiency with Microsoft Office (Outlook, Word, Excel, SharePoint). Experience with legal research tools, such as Westlaw or Lexis/Nexis.
