Corporate Counsel The candidate will provides hands-on legal counsel to executive staff and all levels of management. Identifies and analyzes legal issues pertinent to eviCore and its interests, and assists in the development of clear recommendations regarding eviCoreâ€™s legal obligations and options. Will work under limited supervision by the Managing Counsel, AGC, and CLO, the Corporate Counsel is responsible for the negotiation, drafting, and execution of legal documents, for example: customer contracts (including strategic and complex managed care arrangements); vendor contracts; leases; employment agreements; non-disclosure and Business Associate agreements; corporate and LLC documents; meeting minutes; and purchase and sales agreements, etc. Assist in coordination of all eviCoreâ€™s overall response to legal complaints and litigation, including discovery matters. Drafts company policy, procedures, and compliance-related documents as assigned. Performs research, drafts research memoranda (as assigned), and provides legal interpretation of relevant statutes, regulations, and accreditation standards. Other duties as necessary. Should have 3+ years of experience a practicing attorney, with at least a portion of practice focused on the negotiating and drafting of commercial transactions. A strong preference for at 5+ years of practice experience, with background in healthcare transactions or managed care in a law firm or in-house setting. Must be a graduate of an accredited law school and admitted and in good standing with an appropriate state bar. Additional relevant education (e.g., LLM or MBA) preferred, but not required. Proficient in Microsoft PowerPoint, Word, and Excel is needed. Ability to multi-task and appropriately prioritize and manage multiple projects are needed. Strong analytical problem solving skills are needed. Excellent interpersonal skills, ability to work with diverse personality types are needed. Ability to be highly confidential and exercise discretion is needed.
