Responsibilities:

• Draft transaction documents for complex commercial real estate financings, including loan agreements, mortgages, guaranties, promissory notes, and ancillary collateral documents; modify form documents and write new contract language to reflect and articulate the negotiated business terms for mortgage loans.
• Perform due diligence on ancillary financing documentation, including sources of subordinate debt financing, governmental subsidies, grant awards, and tax credit equity investments; consult with clients to confirm such sources align with financial underwriting, engage with opposing counsel to ensure such financing is committed, and negotiate terms of any applicable subordination agreements.
• Draft operating agreements for newly formed LLCs and partnerships; draft contract language to reflect negotiated business terms for joint ventures, and incorporate covenants and representations required by mortgage lenders.
• Maintain checklist of required documentation, approvals, supporting materials, and due diligence for transaction closings; lead conference calls with other transaction parties to assess status of each required item, press for updates, inquire as to progress, and ensure all requirements are being delivered on time.
• Supervise other transaction parties and coordinate logistical processes to advance toward transaction closings, direct title insurance company and other transaction parties in the compilation of final transaction documents, and draft escrow closing instructions letters detailing the order of recordation of transaction documents.
• Supervise junior associates, paralegals, secretarial assistants, and other support staff; assign work and delegate responsibility for particular tasks related to real estate transactions, provide mentorship through coaching, monthly meetings, and feedback on completed work product.
