Corporate Counsel, Construction and Real Estate
The candidate will draft, review, and negotiate engineering, procurement and construction agreements, SLAs, warranty agreements, operations and maintenance agreements, master supply agreements, distributor agreements, subcontracts and other related agreements into a variety of private and public construction projects, including but not limited to, public works, large commercial infrastructure, large scale water filtration plants, and food and beverage applications. Will review pre-bid documents, RFQs, RFPs, proposals and other related documents to identify and analyze legal risks related to these projects. Assist project teams with the development of risk profiles for potential project bids in the sales funnel. Work with project management teams to identify risk on construction projects and implement risk mitigation plans during the construction phase. Drafting project correspondence relating to legal issues, assisting and liaising with project teams with negotiations and correspondence with GCs, EPCs and Owners. Control the flow down of key provisions in Prime contracts and other agreements into the appropriate procurement and subcontractor agreements. Assist in implementing systems to improve the process for reviewing, drafting, negotiating, and administering the business’ core contracts, including training project teams to understand contract requirements. Assist with project closeout matters including review of certificates of completion, lien waivers, and other project completion documents. Negotiate and resolve pre-litigation claims made against the company in collaboration with the business, including, but not limited to, warranty claims, product defect claims, project delays and payment disputes. Assist in responding, on behalf of the company, to attorney letters and agency matters including charges and government-initiated inquiries and audits, subpoenas and garnishing orders from subcontractors, consultants and clients. Advise and provide consultation to Engineering, Product Management and Quality teams in connection with improvements to products, systems and services. Assist the Associate General Counsel-Litigation and outside counsel with responses, discovery, strategy and other related matters in connection with ongoing and threatened complex and substantial litigation matters. Prepare, review and comment upon real estate documents for legal sufficiency, internal compliance and industry best practices. Such documents include leases, purchase and sale agreements, SNDA's, closing documents, easements, subleases, assignments, indemnification agreements, settlement agreements and termination agreements. Resolve landlord/tenant disputes. Supervise and strategize with outside counsel with respect to real estate closings, landlord/tenant disputes and real estate litigation matters.

Qualification and Experience

The candidate should have a JD degree from an accredited law school of recognized standing and currently licensed to practice law in the United States. Must have 4 years of demonstrated legal experience in construction law /real estate/ contracts. Experience drafting and negotiating complex contracts and dispute management in connection with complex construction projects is a must. Prior experience in negotiating and managing disputes in connection with complex commercial leases is a must.
