Counsel 3 Asset Management Senior Counsel The candidate will join the team of attorneys supporting our mutual fund business. Provide legal counsel on all aspects of the registered funds business, with a focus on product development, product management and corporate governance matters. The position will report to the Senior Company Counsel overseeing the mutual funds’ day-to-day legal affairs. Major Responsibilities: Providing substantive and practical legal advice on the application of a variety of laws and regulations, including the Investment Company Act and Investment Advisers Act, to the business and operations of a large, diversified registered fund complex and the adviser to the funds. Handling mutual fund corporate governance matters, including review and prparation of written materials used in board meetings. Identifying and analyzing complex legal issues arising out of mutual fund strategic initiatives, such as new product development and product management proposals, as well as developing conclusions and making recommendations while working directly with business partners. Evaluating and advising the business on the impacts of applicable legislative and regulatory developments. Leading implementation of effective risk management practices in collaboration with stakeholders across the business.

Qualification and Experience

The candidate should have active State Bar membership. Must have strong academic background. Experience: 5+ years of experience as a practicing attorney. 5+ years of experience handling asset management matters. Deep expertise in the federal securities laws, including the Investment Company Act and Investment Advisers Act. Significant experience with mutual fund corporate governance, including supporting meetings of fund directors. Should have ability to analyze legal issues in substantive law in area of practice and provide effective advice to clients on complex legal matters. Must have extensive knowledge and understanding of research, counsel, and guidance on complex legal questions or inquiries. Should have strong attention to detail and accuracy skills. Must have excellent verbal, written, and interpersonal communication skills. Should have demonstrated ability to provide actionable guidance on complex legal questions arising from mutual fund product development and product management initiatives. Successful track record in influencing and advising senior executives and other clients on legal and risk management aspects of business proposals is required. Must have detailed understanding of mutual fund operations, including the roles of fund service providers, and familiarity with the fund industry.
