Paralegal The candidate maintains corporate books and records and the filing of annual state reporting requirements to meet corporate compliance requirements. Drafts corporate resolutions, minutes, secretary certificates, power of attorney resolutions and similar type corporate documents. Manages subpoena requests to the company, including verifying consents to provide information, gathering information from field and headquarters locations, reviewing documentation provides, and responding to requests. Drafts, sends, and tracks litigation hold orders. Conducts routine and specific legal and factual information research and data compilation, as directed by attorneys. Assists counsel in litigation matters by responding to interrogatories, assisting with compiling information for responding to complaints, research of allegations, and other tasks as needed. Creating organizational documents, including articles of incorporation and bylaws. Drafting resolutions, secretary certificates and power of attorney documents consistent with a general corporate practice. Update and revise corporate books to ensure proper documentation and memorialization of annual and special meetings. Gatekeeper for organization’s service of process notifications. Take board meeting minutes as may be required from time to time. Manages small claims litigation. Works closely with other Departments responding to Corporate inquiries and providing required documentation such as Secretary Certificates, Powers of Attorney, Certificates of Good Standing and other documents as needed. Files correspondence and legal documents in office filing system. Responds to written and verbal requests from attorneys and internal customers. The candidate should have Bachelor’s degree from a four-year college or university. Paralegal Certification is essential. Must have 3-5 years of in house or law firm corporate paralegal experience.
