Associate Division Counsel, Joint Replacement
Duties: Provide analysis and timely counsel on various legal issues, including medical device regulations, intellectual property, employment, mergers and acquisitions, data privacy, competition law, anti-corruption / anti-bribery laws, liability avoidance and sales and marketing related issues. Independently draft, review, negotiate and advise on various agreements, including Sales, Services, Supply, Distribution, Consulting, Clinical Study, Non-Disclosure, Employment and other commercial agreements. Conduct legal analysis and provide timely counsel on laws, rules, regulations, and policies related to interactions with healthcare professionals, both in the US and outside the US, including but not limited to the US anti-kickback law, the FCPA and other local anti-corruption laws, and helping to ensure that compliance program in this area is robust and effective at minimizing risk in this area. Partner with the commercial functions of Orthopaedics divisions in developing and implementing marketing campaigns, including advising on collateral marketing materials focused on a healthcare professional or patient audience, developing guidance for compliant patient education events, and implementing strategies to limit product liability and regulatory risk in marketing campaigns. Handle legal and compliance matters and mitigate legal and compliance risk, provide proactive and solutions-oriented legal advice that advances business objectives, resolve legal disputes for the Company, and represent the Company’s legal interests. Manage or assist in managing litigation and legal claims matters involving Joint Replacement division through interactions with legal team and outside counsel. Review marketing, promotional and scientific activities and materials for compliance with policies and applicable laws and regulations. Identify and encourage efforts within the Legal and Compliance Department to streamline and continuously improve legal and compliance services. Partner closely with legal subject matter experts both internal and external, supporting the Joint Replacement division in HR/employment, strategic contracting and sales, data privacy and security, regulatory, and other matters. Collaborate with and support colleagues in the Legal and Compliance functions. Partner closely with Compliance on initiatives, policies and programs and ensure Joint Replacement division is in compliance with applicable laws, rules, regulations and policies. Assist the Compliance team in managing a robust compliance program to address key compliance risks. Partner closely with Legal Department personnel supporting countries outside the US in connection with Corporation’s legal and compliance matters. Follow and implement internal processes and procedures to support compliant business operations. Provide in-house training and education to business stakeholder to ensure an understanding of applicable laws, regulations and policies.

Qualification and Experience

Qualifications: JD Degree with a strong academic record. Admitted to the Bar of at least one state and eligible for admission to the New Jersey Bar as in-house counsel. 3+ years applicable professional experience; prior professional experience considered. Demonstrates good judgment and professional demeanor. Demonstrates ability to work effectively with colleagues in a global organization. Embraces and supports change in a dynamic environment. Ability to work independently and in a team. Possesses good analytical and drafting skills. Experience providing legal advice in a highly regulated environment preferred. Demonstrates a commitment to integrity and accountability. Provides guidance and direction to others. Good communication skills and ability to convey legal principles clearly and concisely. Has a basic understanding of business financials and reporting. Has the ability to allocate resources effectively and, where relevant, has a general understanding of the budgeting process, expense and headcount management. Good organizational skills and ability to manage numerous projects and conflicting demands in a fast-paced environment. Good interpersonal skills and ability to communicate at levels of organization. Demonstrates proficiency in the Microsoft Office suite.
