Senior Corporate Counsel (Experienced Level Professional) Duties: Provides legal advice directly to internal clients on commercial, corporate, finance, mergers and acquisitions, and antitrust law. Participates with business partners in the drafting and negotiating of complex commercial agreements. Provides reporting to senior Law Department and company management on important issues and topics. Performs and/or manages all levels of legal and factual research necessary to provide appropriate legal advice to clients. Provides rational-legal strategy to clients. Manages external counsel and their budgets. Provides any necessary legal training to clients. Develops, implements, and maintains internal systems that promote both proficient and efficient service to internal clients.
Qualification and Experience
Qualifications: J.D. Law Degree with 3-5 years of commercial, corporate, finance, and antitrust law. Specific experience in mergers and acquisitions. Specific experience in drafting and negotiating complex commercial contracts. Specific experience in secured lending in an open trade credit context, corporate governance, and finance and banking relationships. Working knowledge of antitrust, UCC, and bankruptcy. Experience in real estate transactions and commercial sales is a plus. Ability to work in a fast-paced environment, manage multiple tasks and rapidly re-prioritize based on changing needs. Professionalism in all aspects of the position. Ability to organize technical and non-technical information logically and effectively. Strong written and verbal communication and interpersonal skills are essential including teamwork, managing conflict, and creativity. Commitment to excellence and ability to deal tactfully and professionally with all levels of internal/external customers, management, and outside counsel. Ability to work in O365 software, such as SharePoint and Teams, is also a plus.
