Corporate Counsel The candidate will assist with the preparation and filing of various filings with the U.S. Securities and Exchange Commission, including Forms 10-K, 10-Q and 8-K; Section 16 filings; registration statements and proxy statements; Provide counsel in the areas of capital markets transactions and corporate finance matters, including mergers and acquisitions, securities offerings and repurchase and credit facilities; Handle corporate governance matters, including the preparation of board and committee meeting materials; Assist in developing and maintaining policies and procedures to ensure continuing compliance with SEC and NYSE rules and regulations and support other internal compliance functions; and draft and negotiate a wide array of general corporate agreements, including service agreements, non-disclosure agreements and other commercial contracts. JD from an ABA accredited law school and excellent academic credentials. Should have 4-7 years of relevant corporate law experience, with an emphasis in securities and corporate governance matters.
