New York City office of our client seeks an assistant general counsel preferably with 7+ years of fund formation experience. Significant experience (5+) in a large law firm with sizable fund practice is preferred. The candidate will be responsible for accomplishing results through the management of a team or department to manage and direct day-to-day legal activities in coordination with the Legal team. Provide legal support, advice, and guidance for the Citi Global Wealth Investments (CGWI) alternatives business. Structure and negotiate private equity ad real estate investment opportunities for a global client base. Negotiate distribution agreements, engagement letters, side letters, and confidentiality agreements with third-party managers and their counsel. Manage a team or multiple teams of external counsel. Perform due diligence. Provide support to the hedge fund business. Draft and supervise the drafting of feeder fund memoranda and governing documents. Review sales and marketing materials for compliance with the Advisers Act, FINRA rules, and international regulatory requirements. Advise SEC and CFTC-registered investment adviser on investment-related issues. Apply comprehensive understanding of multiple function areas, acting as a subject matter expert in the area of expertise to achieve the goals of the function. Resolve moderately complex legal issues with moderate impact on business/function segment and provide legal advisory services. Partner with business/functional line management in recommending, developing, and executing business plans within permissible statutory and regulatory frameworks. Coordinate resources to meet business needs and ensure efficient delivery of legal services in business or country/region. Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients, and assets, by driving compliance with applicable laws, rules, and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct, and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards. Must have a Bar license in good standing to practice law.
