Head of Securities Services Legal, North America - Executive Director
Duties: Negotiating and drafting complex service agreements, including global custody, fund administration and accounting, collateral management and securities lending agreements, for institutional clients. Advising senior management and key stakeholders on legal, regulatory, risk and compliance matters relating to the Securities Services business, and working with stakeholders regarding implementation. Advising the business with respect to the development of new products and emerging financial technologies, such as distributed ledger and block chain. Participating in regional and global legal initiatives, including developing templates, know-how, best practices and procedures. Instructing and working with outside counsel (including managing legal costs). Assisting with regulatory inquiries and investigations and litigation. Driving excellent stakeholder management as a trusted advisor to senior management and building strong relationships with other functional partners. Partnering across the line of business and functions to drive the risk/control agenda and participating in appropriate regional management and control forums as a key member and legal representative.

Qualification and Experience

QUALIFICATIONS: JD or educational equivalent required. Must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment. Should have 15 years of experience with a major law firm (or equivalent in-house experience). Background in providing legal services to operationally intensive businesses is preferred. Familiarity with US securities laws, ERISA, Investment Company Act of 1940, Investment Advisers Act of 1940, and/or US insurance regulations is a plus. Excellent verbal and written communication skills. Strong organizational and project management skills. Ability to understand the business needs and partner with the business and control partners to create solutions.
