Legal Counsel-Commercial Banking
Duties: Provide counsel and legal support on a variety of legal matters, including matters that may be complex or may have some material impact to the business. Advise the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner. Provide support and guidance to the business with regard to legal risks arising in jobholder's area of expertise. Provide prompt, commercial, practical and sometimes complex and/or specialized legal advice (under supervision) to the business. Be pro-active in the provision of legal support and in advising the business promptly of material legal developments and their implications Ensure senior legal management is fully briefed on major issues arising in relevant business area and major legislative changes in area of expertise. Recommend selection of outside law firms and other appropriate external parties as needed. Maintain and develop positive and professional working relationships with all team members within Legal Team. Participate effectively as part of the Legal Team. Share legal knowledge and best practices with legal colleagues. Manage internal support staff as appropriate. Provide legal services in a cost-effective manner. Co-ordinate and manage the approach to legal risk. Ensure that the interests of the Group are adequately protected. Assist the business to remain compliant with legal risk management requirements set out in the Group Standards Manual and Legal FIM. Maintain awareness of the operational risk scenario associated with the role and to ensure that all actions during employment with HSBC take account of the likelihood of operational risk occurring. Provide overall leadership over all regulatory and compliance matters and the management of operational risk for the department or business area. Assists the Head of the Commercial Banking Legal Team in managing legal risk across the lines of business in accordance with established policies and procedures. Understanding of the structure of the HSBC Group and its culture and the ability to handle increasingly complex legal issues. Establish close mutually supportive working relationships with other members of the Legal team and the Global Legal Function. Works largely autonomously, but seeks management input on unusual situations, highly complex issues, and matters that may pose significant legal, financial and / or reputational risk to the company.

Qualification and Experience

Qualifications: JD degree and admission to the New York State Bar. Familiarity with CA law as it relates to real estate transactions a plus. 2+ years of experience (including time spent with a with law firm, or as in-house counsel) working on corporate and/or finance transactions, including drafting, reviewing and negotiating deal-related documents for credit facilities, capital raises or similar matters, as well as experience managing a transaction process and interfacing with clients. Experience working with or for a financial institution is a plus. Experience working on cross-border and cross-jurisdictional matters a plus. Knowledge of UCC and secured transactions a plus. Desire and enthusiasm to develop in-depth knowledge of lending and corporate finance transactions. Willingness to collaborate with foreign affiliates to opine on questions of U.S. and N.Y. law. Quick learner who is coachable and open to working on any matters that the team requires assistance with. Strong negotiation, problem-solving, interpersonal, organizational, and verbal and written communication skills. Ability to multi-task and successfully manage a continuous high volume of work. Ability to clearly and succinctly explain contractual provisions and related risks to business partners and colleagues. Ability to thrive in a fast-paced, team-based environment. Displays the highest standards of collegiality, honesty, ethics and integrity. Ability to adapt work style to meet complex and varied workloads. Ability to prioritize work loads in terms of legal risk and commercial consideration. Maintain knowledge of HSBC Group operations and policies. Ability to think independently being mindful of maintaining an appropriate balance between management and mitigation of legal risk and business efficacy. Deepening knowledge of areas of specialty with ability to take a view as to how law is developing in order to advise client and reach a solution. Increasing ability to handle more complex tasks with less supervision. Enhanced relationship with higher levels of management inspiring confidence of customers/stakeholders. Ability to balance the need for further analysis and the need for a timely decision given commercial pressures.
