Attorney - Transactions The candidate will be responsible for managing complex legal negotiations. Responds to needs of the business unit by identifying and analyzing complex and unique legal issues and provide resolution for these legal matters. Ensures the companyâ€™s activities are conducted in compliance with applicable laws. Responsible for identifying and managing legal risk in association with firmâ€™s Risk Appetite and provide strategic direction. Relies on experience and judgment to plan and accomplish goals. Works independently on matters of significance to the organization and has knowledge in specific type of law, and/or the ability to lead teams to resolve complex issues. May work with outside counsel. Leads and negotiates highly complex corporate transactions. Engages and manages outside counsel when necessary. Provides strategic and skillful legal counsel within area of expertise to manage regulatory, compliance and litigation risk to firm businesses. Handles highly complex legal and unique work assignments to deliver highly effective problem resolutions. Engages and collaborates with other legal experts within the company and at times outside counsel. Responsible for analyzing the application of laws and regulations and preparing recommendations and/or documents to support the organization. Applies advanced knowledge regarding relevant business, industry, and area of legal specialty. Applies critical thinking to review complex and non-legal material for legal implications that may pose a risk to the organization. Produces clear and concise written materials appropriate for submission to senior level internal clients. May prepare written legal positions involving highly complex and unique issues that require a high degree of independent legal thought and strategy for resolution. May act as a legal point of contact and proactively partner with Compliance and the businesses to mitigate legal compliance and legal risk. Keeps abreast of any changes in regulations and laws advising appropriate organizational leadership of such changes. Participates in and may lead cross-function initiatives. Serves as a resource to less experienced team members. Ensures escalation of matters presenting more significant risk to more senior attorneys. Should have JD degree from an accredited law school. Must be admitted to the practice law in one state or a territory of the USA. Active member of good standing of the bar in at least one state or territory is needed. Must have 4+ years of experience practicing law within legal area of expertise or other uniquely relevant experience. Should preferably have experience with venture capital financings and investments and mergers and acquisitions. Experience with complex commercial transactions such as asset-backed securities, commercial paper programs and other corporate financing mechanisms are a plus. Should preferably have experience interacting with senior management to support executive decision-making.
