IT Contracts Analyst
Responsibilities: Review, interpretation, negotiation and execution of IT contracts including Master Services Agreements, Software License Agreements, Statements of Work, Software-as-a-Service Agreements, Hardware Agreements and Leases, Telecommunication Agreements, and Amendments. Assist in contract strategy sessions and negotiations in collaboration with other corporate functional areas, including Procurement, Legal, Finance, HR, Compliance and other IS departments. Serve as a point of contact for internal customers and outside vendors on contractual matters. Act as a contract’s liaison between stakeholders and vendors, providing efficient and accurate review, finalization, approval and execution of contractual matters. Provide redlined recommendations on all contracts and negotiate directly with vendors, attorneys and/or sales staff until consensus has been reached. Make key decisions regarding changes to terms and conditions in line with general contracts law, corporate business standards and input from business owners and the legal department when required. Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness. Note any key clauses or high-risk areas. Assist with merger and acquisition IT contract-related projects. Develop and implement procedures for IT contract management and administration in compliance with company policy. Contribute to or influence company policies directly related to contracts and procurement. Monitor competitive terms and identify trends. Monitor acceptance of our terms and conditions and contracting practices. Recommend changes. Maintain contract records and documentation such as receipt and control of all contract correspondence, vendor contacts, contract changes, status reports and other documents for all projects. Abstract key contract data into the contract management system. Provide training as needed regarding IT contracting practices and procedures. Acquire knowledge and maintain education on key legal issues, contractual issues and IT developments and trends. Compile quarterly list of upcoming contracts requiring review, negotiation and/or renewal, along with tracking and reporting associated IT contract commitments.

Qualification and Experience

Qualifications: BS/BA (preferably in Business Management or Finance), AA Paralegal degree or equivalent combination of education, certification and relevant work experience. 3+ years of contracting and negotiation skills; ability to collaborate with all levels of a corporation; basic understanding of IT concepts (ERP Systems, Telecom, Information Security, Statements of Work, Cloud, IT Outsourcing); Procurement, Finance and SharePoint knowledge desired. Experience redlining and adding comments in draft documents. Must have strong analytical skills. Proficient in Microsoft Office programs (Outlook, Word, Excel, and PowerPoint). Excellent written, verbal and presentation skills. Ability to communicate complex issues/solutions in a manner that is easily understood and actionable by the audience. Ability to perform with a sense of urgency within a fast-paced, deadline-driven environment that requires the management of multiple projects at once without compromising quality and service levels. Must have the ability to work well within a team environment as well as independently, have excellent interpersonal and organizational skills and pay specific attention to details. Ability to maintain confidentiality of sensitive data at all times.
