Corporate Counsel
The candidate will be supporting corporate governance actions, including drafting policies and documentation. Supporting corporate compliance with applicable securities laws and regulations. Supporting subject-matter experts of the legal team and management on corporate law matters. Supporting and managing aspects of merger and acquisition transactions such as confidentiality agreements, due diligence, and document negotiation. Advancing intellectual property initiatives, including reviewing and approving public-facing statements and copy. Reviewing, drafting, and negotiating a wide range of transactional documents and contractual arrangements. Being a reliable teammate willing to help others and adapt well when there is ambiguity. Counseling internal business units on creative and practical legal advice to support the achievement of business objectives. May perform other job duties as assigned. Should have a Juris Doctorate degree required and be admitted to, and in good standing with, a State Bar. Should have 5 years of experience in legal practice. Experience in any combination of the following: mergers and acquisitions, intellectual property, and/or corporate governance of a publicly traded company. Must be able to travel up to 5% to other Jack Henry office locations for meetings, training, or to attend a professional conference. Experience as in-house counsel for a publicly traded technology company. Substantial experience in mergers and acquisitions of technology companies. Experience driving intellectual property protection within software and services development. Sound judgment, interpersonal skills, ability to work independently and as part of a team, and excellent time management. Enjoy building client relationships and working closely with various teams, such as operations, engineering, finance, and sales, at all levels. Self-starter who is curious and enjoys providing practical legal solutions in a fast-paced environment for a variety of matters. Ability to see beyond the question asked to the larger issue and future implications.
