Job Overview:

A law firm seeks a highly motivated and detail-oriented Corporate and Taxation Attorney to join their team. The ideal candidate will have a strong corporate law, mergers and acquisitions, and taxation background and be adept at handling complex legal documents and advising on various tax-related issues. This position offers an excellent opportunity to work in a dynamic legal environment focusing on corporate and tax law.

Duties:

• Draft a wide range of documents related to corporate, merger and acquisition, and general business transactions.
• Assist with the administration of trusts and decedent's estates.
• Advise clients on estate, gift, and property tax issues.
• Conduct legal research and analysis on various corporate and tax matters.
• Collaborate with clients and other attorneys to develop strategies for business transactions.
• Prepare and review contracts, agreements, and other legal documents.
• Provide legal counsel on federal, state, and local tax regulations compliance.
• Represent clients in negotiations and legal proceedings related to corporate and tax matters.

Requirements:

• 2-3 years of experience in corporate law and taxation.
• Strong academic record.
• Excellent writing and communication skills.
• Must be in good standing with the California State Bar.

Education:

• Master of Laws (LLM) degree in Taxation (preferably not earned as part of a joint JD/LLM program).

Certifications:

• Must be a licensed attorney in the state of California.

Skills:

• Proficient in legal research and analysis.
• Strong understanding of corporate, merger and acquisition, and business transaction law.
• Excellent drafting and negotiation skills.
• Ability to manage multiple tasks and projects simultaneously.
• Strong interpersonal skills and the ability to work effectively with clients and colleagues.
