Corporate Paralegal/Contracts Manager The candidate will demonstrate a passion for crushing lung disease and embody FIRM values: honor the team, lead with integrity, leverage passion, cultivate innovation, and have serious fun. Work collaboratively with and assist the General Counsel to support the legal, business, financial, strategic, and risk management functions of FIRM. Perform legal research and analysis, interpret legal documents, provide recommendations to the General Counsel and senior management, assist in the development of internal policies, and provide legal support to various business units and executive leadership. Primary responsibility for management of FIRMs intellectual property portfolio, working with the General Counsel and outside counsel as needed. Work collaboratively with the General Counsel and senior management to implement and manage an effective risk management program. Analyze and coordinate contractual insurance requirements, including coordination and production of insurance certificates. Serve as representative of FIRM and the General Counsel in internal and external relationships. Take ownership of, innovate, and manage all aspects of FIRMs contracting process, including development of templates and checklists, assisting business teams in drafting and reviewing contracts, facilitating cross-functional internal review and external contract negotiations, managing contract review and execution process, distributing and storing completed contracts, ensuring effective handoffs to invoicing and implementation teams, and ensuring proper documentation of deadlines and compliance responsibilities. Assist the General Counsel in drafting and analyzing a broad array of contracts, such as including service contracts, independent contractor agreements, commercial agreements, nondisclosure agreements, sponsorship agreements, letters of agreement, Software as a Service (SaaS) agreements, publishing agreements, and venue and event agreements. Develop strategies for effective contract storage to allow for consistency, ease of search and access, one source of truth, and effective analysis. Work collaboratively with the finance team to ensure effective handoffs from contract completion to invoicing. Proactively work to support and educate staff regarding contract processes and to raise the overall familiarity and comfort of staff with contracts. Paralegal Certificate from an ABA-accredited program or Bachelors Degree in paralegal studies required. 3-5 directly relevant experience, including a combination of managing an internal contracting process and drafting and analyzing contracts required. Exceptional customer service and collaboration skills, including the ability to communicate effectively and courteously with colleagues and external partners. Thorough understanding of the contract management lifecycle, including identification of need, drafting, negotiation, review, execution, storage, invoicing, compliance, and analysis required. Firm understanding of business legal risks and requirements required. Familiarity with invoicing processes required. Ability to manage and balance multiple competing priorities/projects required. Strong organizational skills and attention to detail required. Excellent written and verbal communication skills required. Strong analytical thinking and problem-solving skills required. Ability to work independently and proactively to solve problems and to strengthen systems to prevent future problems required. Demonstrated ability to maintain the confidentiality of sensitive information required. Ability to function well in a fast-paced environment under tight deadlines required. Open to feedback, advice, and input from others. Prior in-house legal department experience preferred. Prior experience managing contract process preferred. Experience with electronic signature software (i.e. Docusign), workflow management software (e.g. Wrike), CRM software (e.g. NetForum), collaborative software (e.g. Box); and Microsoft Office preferred.
