Profile

Corporate Paralegal The candidate will be an integral part of the Corporate Legal team. Will work with attorneys and business partners, assisting on public company filings, domestic and international subsidiary maintenance, and board and governance matters. Will also support our investment and M&A activity. Assist in ongoing securities laws compliance, including assisting preparation of SEC filings including of annual and quarterly reports and proxy statement. Manage subsidiary compliance and maintenance of corporate records, including international and domestic company board and shareholder materials (private companies). Create and maintain corporate records databases (hard and soft copy databases). Assist with preparation of Board materials and minutes. Coordinate and perform day-to-day activities relating to corporate governance and filings. Assist the legal group on corporate transactions and organization of documents. Prepare, process and maintain regulatory filings (i.e. qualification filings ' state annual report filings). Assist with Section 16 reports and Form S-8 registration statements and provide other support to stock administration as necessary. Act as Records Coordinator and maintain and update record retention requirements. Assist with legal research and ad-hoc projects as requested. Work on other special projects, as directed by attorneys.

Qualification and Experience

A Bachelor’s Degree or Associates Degree/paralegal certificate required. 5+ years of experience as a Corporate Paralegal in a law firm and experience working in in-house corporate legal department (preferable at a public company) is required. Should have exceptional interpersonal, verbal and written communication skills. Proficiency with Workiva desired. Should have excellent computer skills (Adobe and Microsoft Word, Excel and Powerpoint). Must have strong project management skills.
