Assistant General Counsel The candidate will be responsible to provide front-line legal support for designated business units and functional departments, including contract drafting and review, regulatory compliance (e.g., antitrust and competition laws), intellectual property protection and employment issues. Manage specialized legal matters, including litigation, M&A transactions and corporate, ethics and regulatory compliance matters. Participate in/lead cross-functional and organizational initiatives. Assist in developing and executing Legal & Compliance Dept. strategy, including staff selection and management, outside counsel selection and management, and training.
Qualification and Experience
The candidate must be a Licensed attorney with a J.D. from an accredited law school with excellent academics. 5-7 years of experience, preferably a combination of private practice with a major law firm and relevant in-house experience with a mid-cap or larger company is needed. Experience supporting mergers and acquisitions and other corporate transactions and providing corporate governance advice is essential. Well-developed analytical and negotiating skills, the ability to solve difficult legal business problems, the ability to analyze contracts, legal agreements and properly protect the company’s interests is required. Ability to work effectively with business unit and functional leaders is necessary. Excellent verbal and written communication skills are must. 10+ years of experience as an in-house attorney with a publicly traded mid-cap or larger manufacturing company is preferred. Experience supervising legal professionals is an asset. Experience with public company disclosure requirements is a plus. Experience with intellectual property law is desired.
