A law firm seeks an experienced associate attorney to join its prestigious Public Companies practice in Boston. Duties:

  • Advise public companies on corporate governance, SEC reporting, disclosure requirements, and compliance.
  • Represent clients in various capital markets transactions, ensuring legal compliance and strategic positioning.
  • Manage client relationships, including handling the day-to-day legal demands of clients with complex needs.
  • Provide expert legal counsel on a variety of public company matters, including mergers, acquisitions, and corporate restructuring.
  • Prepare and review key regulatory filings, including annual and quarterly reports, proxy statements, and other SEC-required documents.
  • Collaborate with senior partners and other practice areas to support clients in achieving business objectives.
  • Stay current with developments in securities laws and corporate governance to provide proactive legal guidance.

Requirements:

  • Minimum of 5 years of experience advising public companies on corporate governance, SEC reporting, and compliance.
  • Experience in representing companies in capital markets transactions.
  • Demonstrated ability to manage client relationships and handle multiple complex matters simultaneously.
  • Strong communication and negotiation skills with a client-focused approach.
  • Ability to work independently and as part of a collaborative team.
  • High level of academic achievement from a nationally recognized law school.
  • Strong analytical and problem-solving abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the bar in Massachusetts (or eligibility for admission).

Skills:

  • Corporate Governance: Deep understanding of public company regulations and governance structures.
  • SEC Compliance: Proficiency in SEC and exchange reporting, compliance, and disclosure requirements.
  • Capital Markets: Experience in representing clients in capital markets transactions and financing matters.
  • Client Relationship Management: Ability to maintain and grow client relationships, addressing complex legal needs.
  • Legal Drafting: Skilled in drafting regulatory filings, legal memoranda, and other documents for public companies.
  • Analytical Thinking: Strong problem-solving and analytical skills to navigate complex legal issues.
  • Collaboration: Ability to work effectively in a team-oriented environment while managing individual responsibilities.
