Senior Counsel The candidate will uphold the Mission Statement of Ameriflex. Will provide quality internal and external customer service in the preparation, negotiation and review of customer contracts. Perform multiple, time-sensitive projects in a fast-paced environment. Prepare and review vendor and partner arrangements. Advise internal business clients on strategies to address client needs. Develop, maintain and monitor procedures to ensure compliance with all applicable federal, state and local laws and regulations. Conduct and coordinate research into a variety of issues. Provide day-to-day legal counseling on operational and transactional matters. Conduct privileged investigations. Manage outside counsel in pending litigation and other matters where appropriate. Identify issues and develop strategy and tactical plans for various department initiatives. Collaborate with senior management on big picture issues. Provide general consultation on a variety of actual or potential legal issues with company managers. Will become an expert on the legal and regulatory matters of industry and liaise with the compliance department to support our customers. . Provide general informal consultation with company staff and salespersons regarding compliance issues. Provide general informal consultation with company clients, partners, etc. regarding compliance issues. Assess products and services offered by the company (or being considered by the company) with regard to compliance. Serve as our HIPAA Privacy Officer, Compliance Officer for purposes of our role as a Program Manager, and work closely with Operations and Technology who are tasked with managing various risks. . Negotiate, write and execute agreements and contracts on behalf of the company. Prepare and review agreements, policies and other documents from a legal perspective and provide input as needed to protect the company against legal risks. Monitor legal, legislative, regulatory and (if applicable) political developments affecting the products and services offered by the company. Provide training to the company on legal topics. Review advertising and marketing materials to ensure they are in compliance with legal requirements. Strong analytical and negotiation skills are needed. Proficiency in using MS Office Suite and Windows-based computer applications are needed. Ability to maintain a high level of confidentiality regarding corporate information is needed. Must have a JD degree from an accredited university. Must possess an active license to practice law in the State of Texas is needed. Should have 4 - 7 years of experience as a licensed attorney in a large law firm.
