Paralegal / Contracts Specialist The candidate assists (under attorney supervision) in the review, preparation, coordination and administration of agreements including purchase and sales contracts, non-disclosure agreements, license agreements, real and personal property leases and other contracts as they arise. Serves as liaison between the law department and various internal business groups with respect to such matters. Maintains master forms and contract database for use by the law department. Prepares and maintains a litigation log (to track litigation matters affecting the company and its subsidiaries). Maintains law department central files; hard copy and electronic. Supports the corporate secretarial function, including preparation of shareholder and board resolutions, preparation and/or modification of by-laws and articles. Maintains corporate minute books and other director and officer and related information. Prepares and files State corporate annual reports for Company and subsidiaries and prepares annual corporate E-Visa application renewals for Company and U.S. subsidiaries. Prepares annual ITAR registration renewal for Company and subsidiaries. Tracks outside counsel billing and assists with annual law department budget planning. Performs research and other duties within the law department as may be assigned. Bachelor’s degree is needed. Paralegal Certification is a plus. Should have 5+ years of related experience, including the handling of purchase and sales contracts. In-house corporate experience a plus. Proficient with the MS Office programs including Word, Excel, PowerPoint is needed. Experience with Lotus Notes a plus is essential. Contract drafting experience is desired. Ability to perform a variety of tasks under general supervision is needed. Excellent organization and communication skills are required.
