Attorney Responsibilities: Support the origination, closing, and servicing of private banking and commercial transactions: Counsel sales and relationship managers, credit personnel, and operations group regarding legal, structural, and due diligence matters. Review and provide analysis of entity borrowers’ formation documents and trust agreements and related documents. Prepare and review loan documentation and communications to borrowers. Resolve problems, questions, and issues that arise throughout the process, from origination to closing and servicing. Assist in internal documentation of swap transactions. Conduct legal research on various topics as needed Draft, review, and negotiate NDA’s•Supervise outside counsel’s review and negotiation of commercial service agreements. Preparation of Secretary’s Certificates and Conformity Certificates for Private Bank partner firms. Assist with the review and negotiation of control agreements and loan program agreements.
Qualification and Experience
Requirements: JD Degree with a strong academic background. Bar Membership in good standing as an attorney licensed to practice law in PA. 1-3 years of experience in corporate/finance law required; experience within a bank or banking practice preferred. Trusts and estates and commercial contract experience preferred. Excellent research, critical-thinking, and analytical skills. Ability to communicate and collaborate effectively, orally and in writing, with colleagues, non-lawyer clients, outside counsel, and third parties, including the ability to identify and frame issues and solutions and convey them clearly to non-lawyers. Strong interpersonal skills, with an ability to thrive in a team environment. Ability to work independently or with little supervision and be self-motivated, including the willingness to learn new areas of law quickly
