Legal Counsel, Operations
Duties: Draft, negotiate and manage a wide variety of commercial contracts, including commercial sales, and vendor contracts. Help shape the company’s in-house legal strategy and streamline legal processes to accelerate revenue and shorten contracting cycles. Work closely with internal team across all departments on ad-hoc projects and as needed to support their objectives and advise on legal risks and opportunities. Assist in developing strategies, including by providing legal value-adds related to business opportunities. Build the legal foundation and provide counsel on a broad range of topics and lead the company in matters involving legal issues. Identify the need for, and participate in the definition and development of policies, procedures, and programs which address areas of risk and ensure compliance with the law. Develop and implement protocols, infrastructure, and systems to manage legal matters as appropriate for a U.S.-based corporation, which operates internationally. Engage and oversee work of outside counsel & ensure the delivery of quality, timely and cost-efficient legal services. Review and negotiate enterprise software license agreements, channel partner agreements, and a variety of other high-impact agreements. Provide practical guidance related to the product, IP, data privacy, and security issues during the contract negotiation process. Work closely with the company's finance and operations teams to develop and implement policies to improve deal efficiency while balancing long-term risk. Support marketing, HR, compliance, and other projects as needed.

Qualification and Experience

Qualifications: J.D. from an ABA-accredited law school with admission to a State Bar. 5+ years of experience working in the legal field (start-up or tech industry experience is a plus). Extensive experience in corporate, commercial, and other strategic transactions. Excellent verbal and written communication skills, including the ability to explain legal concepts to non-lawyers. Excellent organizational skills and attention to detail. Ability to work independently or with a team. Proactive and solution-oriented approach to resolving issues. Experience with intellectual property, licensing, media, securities instruments, sports and entertainment law, and corporate governance.
