Legal Counsel Responsibilities: Provide accurate and timely legal guidance on all matters that affect company subsidiaries in NA including procurement and sales agreements, bids, related IP issues, litigation management, real estate leases, and strategic alliances. Draft and standardize agreements, contracts and other legal documents so risks are minimized and legal rights are maximized. Support and supervise outside counsel to the extent required. Together with local HR management, give regular employment law advice to company’s subsidiaries. Support establishment of effective and efficient contract management processes. Support significant legal reporting obligations to the company’s head office in Bangkok. Identify proactive solutions to eliminate or mitigate risks. Deal with complex, significant matters that cut across legal and related areas. Support and further develop regulatory compliance including code of conduct, anti-bribery, antitrust law and code of conduct programs. Conduct independent investigations of whistleblower allegations as required. Deliver corporate secretarial services and provide corporate governance support for a complex domestic US and North American subsidiary structure of company (legal entity management, corporate governance advice, restructuring support). Set and contribute to the development of internal governance policies and manage the impact of external factors. Oversee and manage budgets for legal spend. Engage and build relationships with company North American business leaders. Maintain current knowledge of applicable legislation and continually research legal issues affecting the subsidiaries in North America and best practices. Supervise members of Legal staff. Participate in due diligence of potential acquisitions, prepare and negotiate M&A core and ancillary documentation. Perform other duties as assigned to support business needs.
Qualification and Experience
Qualifications: JD Degree from an accredited institution required. 12+ years’ experience as business attorney, prior experience working in internal legal departments or other substantive experience in in-house legal counsel roles preferred. Ability to cooperate effectively with global legal & compliance team and within a matrix organization, international mindset and comfortable working with other cultures. Excellent interpersonal skills in a multi-national cultural environment. Excellent written and verbal communication skills. Strong analytical and problem solving skills. High degree of professionalism and integrity with ability to handle confidential information appropriately. Strong contract drafting skills and strong knowledge of contract law. Ability to grasp technical concepts. Strong M&A experience. Demonstrated ability to create legal defensive and proactive strategies. Experience working across multiple verticals. Knowledge and understanding of general corporate law and procedures. Sound judgment and ability to analyze situations and information. Experience interfacing with international legal teams. Willingness to support various administrative functions, such as contract data-basing, necessary for legal department operations.
