Corporate Counsel The candidate will be directly involved in complex business transactions in negotiating critical contracts. Will negotiate and prepare legal documents, including providing legal opinions, for firm’s transactions with customers, surety, vendors, subcontractors, financial institutions, and government entities. Advise on legal matters relating to these transactions. Review and negotiate client contracts for projects. Advise management with respect to legal issues related to the development and implementation of its business strategy, governance and compliance policies, employment law matters, intellectual property issues, state and federal tax and corporate filings, corporate structure, and organizing documents and other issues as needed. Play a key role in a range of risk management activities. Negotiate commercial corporate contracts that Power Design, Inc enters. Supervise outside counsel. Manage and maintain corporate matters which include: corporate files, generating corporate annual reports, protect/manage trademark and maintaining corporate headquarter and Power Design Resources leases. Assist with the licensing and regulation complaints. Manage and monitor filing of liens and litigation filed for/against Power Design, Inc. which include: assisting with litigation investigation, performing litigation cost analysis and filing of litigation documentation. Assisting with mediation/arbitration/trial efforts. Respond accordingly to Notices to Cure, Delay claims, and other similar letters. Place vendors on notice for various contract defaults. Develop and conduct training sessions for staff on a wide range of topics including contract management, risk management, and conflict resolution. Perform other duties as assigned. Must have Juris Doctorate degree from an accredited law school; be admitted in good standing to practice in the State of Florida. 2-3 years of US law firm experience (or equivalent) in general corporate/ commercial/ transactional area, with contract drafting and business organizations experience preferred. Excellent contract drafting and negotiating, and issue identification and problem-solving skill is essential.
