Job Overview

A law firm is seeking a highly skilled Mid-to-Senior-Level Technology Transactions Associate Attorney with 4-6 years of experience. This position will focus on commercial matters involving intellectual property, including licensing and analysis, protection of trade secrets and privacy, and drafting and negotiating development, manufacturing, tolling, supply, distribution, and other service agreements. The ideal candidate will also have significant experience evaluating and advising on IP and tech issues in general corporate transactions such as mergers and acquisitions, carve-outs and spin-offs, private equity, and debt finance. This role is based in Dallas, TX.

Duties and Responsibilities

  • Draft, review, and negotiate various technology and IP-related agreements, including licensing, development, manufacturing, supply, distribution, and service agreements.
  • Advise clients on the protection and enforcement of intellectual property rights, including trade secrets and privacy matters.
  • Provide counsel on IP and technology issues in the context of general corporate transactions, including mergers and acquisitions, carve-outs, spin-offs, private equity investments, and debt financing.
  • Conduct IP due diligence and risk assessment for corporate transactions.
  • Collaborate with clients to develop and implement strategies for IP asset management and commercialization.
  • Assist in the resolution of IP disputes and enforcement actions.
  • Stay current with developments in IP law, technology transactions, and related regulatory issues.
  • Mentor and supervise junior associates and support staff as needed.
  • Participate in business development activities and client presentations.

Requirements

  • 4-6 years of relevant experience in technology transactions and intellectual property law.
  • Significant experience with IP and tech issues in general corporate transactions.
  • Strong understanding of commercial matters involving IP, including licensing and trade secret protection.
  • Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving skills.
  • Ability to work both independently and as part of a team.
  • Member in good standing of the bar in Texas or eligible for admission.

Education and Certifications

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Texas Bar or ability to obtain admission promptly.
