Corporate Paralegal
The candidate will support and assist in the administration of corporate governance, handling various regulatory, civil and other litigation as well as policy and compliance matters. Participate in facilitates assignment of lawsuits, investigation of claims, production of discovery, enforcement actions, and responses to requests from regulatory agencies. Duties within Corporate Governance include, oversee affiliate and subsidiary management to ensure that the entities comply with various legal requirements. Maintain database with key status of the Company's subsidiaries, maintain record of subsidiary officers and directors. Assist in the maintenance of corporate governance for all relevant legal entities. Support in preparation, distribution, and execution of resolutions for Board actions when necessary. Handle SEC Filings including Annual Proxy, 8-Ks, 10-Ks, and Form 4s. Obtain and renew EDGAR filing codes for the company and individual Section 16 filers. Maintaining precise records of officer and director share ownership. Keep up Board minute books, and Tax documentation for relevant legal entities Work closely with our tax, accounting and human resources departments on financial reporting, share reporting, executive compensation and related disclosure items Serve as a back-up for corporate hotline management. Will be responsible for complying with reporting requirements and meeting deadlines for responses to inquiries from regulatory agencies, terms of active consent judgments, and settlement agreements. Track and log incoming lawsuits, regulatory requests, audit reports, demand letters and claims, and manage response deadlines associated with same. Work with internal business partners to gather all documents in response to subpoenas, regulatory inquiries, and as necessary to respond to written discovery requests. Coordinate with the Managing Attorney to assign files to outside counsel. Assist with discovery and coordinate with outside counsel to produce relevant company documents Investigate claims and organize documents in preparation for trial. Work with in-house and outside counsel to place litigation holds. Prepare weekly and monthly litigation or compliance reports. Act as a liaison with corporate witnesses to coordinate interviews, depositions, and court appearances.

Qualification and Experience

The candidate preferably have 10+ years of experience as a Corporate Paralegal including managing securities filings with the SEC, making electronic filings on EDGAR, and compliance with stock exchange listed company rules. Bachelor's degree (BA, BS) or equivalent, and 1-2 years of direct experience with government enforcement actions, responding to subpoenas, and general civil litigation are important.Knowledge and mastery of MS Office, and experience with e-discovery and case management software is favored.
