Senior Real Estate Counsel The candidate will be responsible for real estate legal services relating to the day-to-day operations of hospitals, surgery centers, employed physicians, and firm’s other entities, including leasing, acquisition, disposition, development, construction, and related matters to ensure compliance with Company policy, procedures, and applicable governmental and healthcare laws. Will handle certain aspects of commercial real estate transactions, including LOIs, negotiations of transaction agreements, due diligence, closing and post-closing matters. Types of transactions will include: undeveloped land transactions, development of hospital and other healthcare projects (new and expansion), hospital transactions (buy/sell), and leasing (both sides), as well as supporting activities related to any credit facility or indebtedness agreements, amendments, extensions, refinancings, etc. and due diligence activities associated with such matters. Participate in acquisition or divestiture transactions, including on-boarding of new acquisitions and compiling due diligence materials for divestitures. Review and address title and survey issues, zoning issues, resolution of encumbrance and restriction issues, environmental and other due diligence issues that arise in transactions. Work with other corporate departments, as needed, to accomplish company goals in the corporate and real estate areas. Must have 4+ years of relevant real estate experience. Should have Juris Doctor (J.D.) Degree and licensed in the State of TN. Ability to read, analyze, and interpret complex documents involved in transactions is required. Ability to perform essential duties effectively and professionally, as well as exhibit good verbal and written communication skills is needed.
