A law firm based in New York City, NY, is seeking a skilled Transactions Corporate (Capital Markets) Associate Attorney with a strong background in equity capital markets. The ideal candidate will possess extensive experience in drafting registration statements, Exchange Act disclosures (., 10-K’s and 10-Q’s), and ideally, mergers and acquisitions (M&A). Exceptional analytical abilities, writing proficiency, and communication skills are essential for this role.

Key Responsibilities:

  • Draft and review registration statements for underwritten offerings, registered directs, and confidentially marketed public offerings.
  • Prepare and analyze Exchange Act reports, including 10-K’s, 10-Q’s, and other periodic filings.
  • Provide legal counsel and support on mergers, acquisitions, and other corporate transactions as needed.
  • Conduct due diligence reviews and manage transactional documentation.
  • Collaborate with partners and clients to ensure compliance with regulatory requirements and securities laws.
  • Assist in the preparation of corporate governance materials and resolutions.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Bar in the state of New York (active and in good standing).
  • Minimum of 4 years of relevant experience in equity capital markets, focusing on underwritten offerings, registered directs, and public offerings.
  • Experience with M&A transactions is highly desirable.
  • Strong academic credentials reflecting high intellectual capacity.
  • Exceptional analytical, research, writing, and communication skills.
  • Ability to thrive in a fast-paced environment and manage multiple priorities effectively.

Preferred Skills:

  • Familiarity with SEC regulations and reporting requirements.
  • Proficiency in reviewing and negotiating transactional documents.
