General Counsel And Chief Compliance Officer
The candidate will be responsible for leading corporate strategic and tactical legal initiatives. The general counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Serves as legal advisor on all major business transactions, including client agreements, vendor agreements, acquisitions, divestitures and joint ventures. Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Assumes ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations, including HIPAA/HITECH, FCA, AKS. Serve as chief compliance officer for outside medical billing company with all attendant responsibilities as outlined by the Federal Sentencing Guidelines and other regulations. Serves as Secretary to the board of directors in board meetings. Manages the compliance and quality assurance team as well as oversees the human resources functions.

Qualification and Experience

The candidate should have law degree. Must be admitted to the Bar in CT or another state with ability to become authorized house counsel in CT upon employment. Should have 6+ years’ experience practicing law. 10 years’ experience as a practicing lawyer, experience with health law for 2 of those years is desired. Should preferably have experience working on matters of corporate governance and with a board of directors. Experience with cost-effective management of outside legal resources is desired. Experience with contract law, health care law and regulations, employment law, privacy laws, and litigation management is preferred. Experience working at or with a private equity sponsor is preferred.
