Profile

New York City office of our client seeks attorney with 2+ years of experience. The candidate will represent clients in legal matters involving foreign investment regulatory framework for Latin America countries, mergers and acquisitions, restructuring, financings, securitizations and general corporate work. Will work on commercial transactions and direct foreign investments involving companies in the U.S., Asia, Mexico and Latin America. Prepare, draft, review, and negotiate joint venture, stock purchase, asset purchase, subscription, loan, agency, acquisition, merger and indemnity agreements for clients in multiple jurisdictions. Prepare and review corporate governance documents, conduct due diligence. Research U.S. and International Law, investigate facts, and prepare legal documents and reports. Advise clients on Rule 144A/Regulation S offerings. Perform comparative legal analysis work and advise clients on how business law in the U.S. and Mexico intertwines in various activities, including manufacturing, professional services and capital markets. May require travel to various, unanticipated sites throughout the U.S., Mexico and Latin America. Must have experience preparing, drafting, reviewing and negotiating joint venture, stock purchase, subscription, loan, agency, acquisition, merger and indemnity agreements for clients in multiple jurisdictions including Mexico and Latin America; experience preparing and reviewing corporate governance documents and conducting due diligence; experience handling international corporate law matters related to Mexican and Latin American; experience working with Asian clients investing in Latin America; and experience advising clients on Rule 144A/Regulation S offerings. Master’s degree in International Law, Comparative Law, Corporate Law, or related legal field is essential. Must have license to practice law in New York. Any suitable combination of education, training or experience is acceptable.
