Associate Counsel, Patents The candidate will be responsible for prosecution and maintenance of company’s growing patent portfolio. Associate Counsel, Patents advises and partners with product owners, technology teams, and design teams across the company, to identify, capture, secure, protect, and exploit potentially patentable innovations. Associate Counsel, Patents, is also charged with providing general legal advice and services in support of innovation, technology, and eCommerce programs, as well as providing education and training on various legal issues impacting innovation, technology, and eCommerce. The Associate Counsel, Patents is also responsible for implementing and managing the Company’s patent rewards and recognition program. Work with business and technology partners to identify and capture potentially patentable innovations. Assist with surveys of company innovations and trade secrets. Prepare or facilitate (solely, or with assistance of outside counsel) the preparation of patent applications and related documentation. Track and maintain Company’s patent portfolio, including processing renewals, updates, and revisions (includes use of specialized docketing program). Perform or review intellectual property clearance searches (solely, or with the assistance of outside counsel) to determine scope of available rights and potential legal issues. Create and maintain legal processes and form documents to facilitate the capture, review, clearance, and prosecution of new innovations. Maintain and organize patent files. Manage outside counsel and vendor processes and budgets for patent prosecution and patent portfolio management. Act as primary point of contact for outside patent counsel with respect to patent applications and patent portfolio. Facilitate documentation of Company prior art and innovation legacy, including review of technology white papers and other ‘printed publications’. Implement and manage Company patent related rewards and recognition, in coordination with partners in the business, technology, HR, and Corp Comm. Provide general legal advice and services in support of innovation efforts. Provide counsel and patent analysis on innovation pathways, open source software, and patentable inventions and designs. Provide education and training to business, technology, design, and product teams on legal issues related to IP, innovation, technology, and eCommerce. Provide education and training about patents, trade secrets, and related topics. Identify opportunities to maximize the value of ideas and other intangible assets generated within the company through intellectual property protection. Perform research and manage knowledge regarding pertinent legal and other developments in patent law, fintech, and innovation. Provide counsel on intellectual property issues in various technology transactions. Prepare (solely, or with the assistance of outside counsel or internal Contracts team) licenses, assignments, and other IP-related agreements. Draft and maintain Company website and platform terms of use and end user license agreements. Assist with aspects of M&A due diligence related to patents and technology, and manage special projects as assigned on an as-needed basis.

Qualification and Experience

The candidate should have JD Graduate Degree from accredited law school. Must have 3-5 years of legal experience with patents (prosecution, docketing, management, counseling, transactions, litigation) at a law firm or in-house. Software engineering degree preferred, or equivalent real-world experience with computer programming, software application design, user experience design, and/or data and analytics. Experience with both utility and design patents, with special emphasis on art areas involving software patents, business method patents, GUIs, and financial products is needed. should have experience with Internet, eCommerce, and technology transactions. Must be member of state bar in good standing (may require licensure in MI). Member of Patent Bar is needed. Military education or experience may be considered in lieu of civilian requirements listed.
