M&A Paralegal The candidate will assist lawyers in connection with mergers and acquisitions, corporate matters and contract preparation. Responsibilities include; obtaining and performing documentation review in the due diligence process related to acquisitions and preparation of deliverables for closing transactions, powers of attorney, secretaryâ€™s certificates and incumbency certificates. Additional duties include administration of accurate record keeping, maintaining corporate records through an online database, drafting and filing charter documents and preparing corporate resolutions for Shareholders, Board of Directors and Managers.
Qualification and Experience
The candidate should have Bachelorâ€™s degree in Legal Assistant/Paralegal studies and 3+ years of professional experience as a corporate paralegal in the areas of M&A, stock and asset purchases and corporate transactional law. Possess proficiency with MS Office Suite technology, effective communication skills, exceptional multitasking and proofreading skills; enjoy coordinating a variety of projects as well as a passion for client service.
