In-House Legal Counsel - Bilingual Korean Duties: Under the direction of the General Counsel at Samsung SDS America, Inc., will negotiate and draft contracts, conduct corporate maintenance and compliance, address basic HR/employment and pre-litigation issues, and manage and act as in-house interface to outside counsel. Competently draft, negotiate, and advise the business on various general commercial agreements. Corporate maintenance. Compliance, including updating current policies and practices, and drafting new policies; consult with SDS Korea’s (HQ) compliance department and implement compliance practices provided by HQ. Advise business teams as to best practices and procedures. Support HR on basic day to day employment issues. Manage pre-litigation disputes and support outside litigation counsel as in-house interface. Various bespoke legal projects as needed. Manage and be in-house interface for various other outside counsels. Occasional support of outside M&A counsel (no M&A experience required). Consult with SDSK (HQ) when needed. Other duties as assigned.
Qualification and Experience
Qualifications: JD Degree from ABA accredited law school. Member in good standing of NJ or NY bar, or eligible to practice law as a limited license in-house counsel under NJ judiciary rules. 4+ years practicing law including 2+ years in-house, 3+ years of contracts, compliance, and employment law. Bilingual Korean – medium proficiency in reading and speaking. Expert with MS Word and MS Windows. Good working knowledge of MS Excel and MS PowerPoint. Ability to prioritize workload, manage simultaneous tasks, and meet deadlines in a fast-paced environment. Excellent attention to detail and command of contract document English writing/prose. Exercise sound judgment when negotiating contracts on which issues to yield on and which to push back, taking into account company legal/contract risk profile, overall transaction risk, business deadlines, and customer/vendor negotiation disposition. Comfortable negotiating with customer procurement teams and vendor counsels. Respond timely to legal requests from business units and effectively explain legal issues and risks in a way that business people can understand. Ability to identify and analyze complex issues and devise creative solutions and strategies. Strong sense of urgency, knowing when to escalate issues, and being proactive bringing issues to closure. Excellent writing, presentation, and communication skills. Approachable and willingness to be a trusted advisor to business unit leaders. Ability/willingness to put in extra effort and time during peak business times. IT Industry/IT contracts experience is preferred. Experience building/updating contract templates/forms is preferred.
